TERMS OF USE (PUBLIC OFFER)

1. General provisions

These Terms of Use (the “Terms”) govern the use of the website, the ordering of services and the making of payments to Private Entrepreneur Lutsiak Yan Valeriiovych (the “Provider”). This document constitutes a public offer under Articles 633 and 641 of the Civil Code of Ukraine. By placing an order or making a payment, the user (the “Client”) fully and unconditionally accepts the terms of this offer.

3. Description of services

The Provider offers the following services:

information and consulting services on selecting vehicles at foreign (in particular European, Korean and US) auctions;

organisation of the Client’s participation in open auctions and other vehicle marketplaces;

organisation of vehicle delivery to Ukraine (sea freight, car transporter);

support for customs clearance and vehicle registration procedures;

organisation and supervision of vehicle repair (by agreement, at specialised service stations);

other related services set out in the Service Agreement.

A detailed list of services, stages of provision, and prices are defined in the Service Agreement and quotation annexes signed between the Provider and the Client in paper or electronic form.

4. Ordering and contract conclusion

The Client contacts the Provider via the website, phone or messengers with a service request.

The Provider provides a quotation of service cost and delivery conditions.

After agreeing the terms, the parties sign the Service Agreement (in paper or electronic form).

The Client pays a deposit in the amount set in the Agreement (usually from USD 500 or the equivalent).

Further settlements are made in stages in accordance with the Agreement.

5. Payments

Payments are made in Ukrainian hryvnia via the secure LiqPay payment service (JSC CB “PrivatBank”) using Visa, Mastercard, Apple Pay, Google Pay, PrivatPay and other available methods. All payments are protected by the PCI DSS standard and TLS encryption.

The USD/EUR-to-UAH exchange rate is determined by the average commercial exchange rate at currency exchange offices in Ukraine on the payment date, unless otherwise provided in the Agreement.

6. Rights and obligations

The Provider undertakes to:

provide the services in a timely manner and of due quality in accordance with the Agreement;

keep the Client informed about order progress;

ensure the protection of the Client’s personal data in line with the Privacy Policy.

The Provider is entitled to:

independently choose the means of performing the order;

receive timely payment for services;

refuse to provide services if the Client has supplied false information;

engage third parties (logistics companies, customs brokers, repair shops) to perform the order.

The Client undertakes to:

provide accurate information necessary for performance of the order;

make payments in a timely manner in accordance with the Agreement;

take timely delivery of the purchased vehicle at the agreed location;

issue duly executed powers of attorney for customs and registration procedures.

The Client is entitled to:

receive information about the progress of services;

attend the auction and vehicle inspection;

demand the return of the deposit in the cases provided for by the Agreement and the law.

7. Limitation of liability

The Provider shall not be liable for:

any discrepancy between the actual condition of the received vehicle and the information posted by the auction organiser on its website;

the timing of sea delivery of the vehicle, which is determined by logistics and transportation companies;

changes to customs, tax or other Ukrainian legislation occurring after the Agreement is concluded and affecting the cost of customs clearance or other services;

hidden vehicle defects that could not be detected by a visual inspection of photos;

delays caused by force majeure (war, embargo, strikes, natural disasters, port disruptions, etc.).

8. Intellectual property

All materials placed on the website (texts, images, logos, design) are the intellectual property of the Provider or are used on legal grounds. Copying, reproduction or distribution of materials without the written consent of the Provider is prohibited.

9. Personal data

The Client’s personal data is processed in accordance with the Privacy Policy available on the website. By using the website, the Client consents to the processing of personal data.

10. Refunds

Refund conditions are governed by a separate Refund Policy posted on the website.

11. Force majeure

The parties are exempt from liability for failure to perform their obligations if such failure was caused by force majeure: declared or actual war, blockade, embargo, natural disasters, accidents, new restrictions imposed by state authorities, unforeseen transport delays, seizure of maritime routes, port disruptions, etc. The affected party must notify the other party within 14 calendar days.

12. Dispute resolution

All disputes arising out of or in connection with these Terms shall be resolved through negotiations. If no agreement is reached, the dispute is settled in court under the laws of Ukraine.

13. Amendments

The Provider may amend these Terms at any time. The current version is always published on the website. Continued use of the website after changes constitutes acceptance of the updated Terms.
